Piaget Lessons I e Learned from the Amish

July 23rd, 2010

One of the more interesting fringe benefits of my job as a log furniture retailer has been to become acquainted with the Amish way of life. While certainly not an expert on Amish life, I have learned some valuable lessons from my Amish friends: Lesson #1: Drawing a line in the sandThe Amish commitment to a simple way of life certainly is admirable. Every belief system seems to have its 搑ules and regulations?that work out the details of how that belief system is applied to practical life, and the Amish are no exceptions. My main Amish furniture builder wouldn抰 think of using electricity, but his entire log furniture building shop is powered by an air compressor. He won抰 allow a phone in his building, but he has a pay phone outside. He rides a horse and would never consider driving a car, but he hoists log armoires and dressers around with a forklift truck. When I asked him about this, he said that was O.K. because the forklift truck was powered by propane. He wouldn抰 touch my digital camera with a ten foot pole (I know, because I asked him to snap a picture of some log bunk beds for me), but he doesn抰 mind me snapping pictures all over the place and even offered to pay me to take some for him. While some people may find the above list of seeming contradictions to be somewhat less than admirable, I keep going back to the old saying 搒tand for something or you will fall for anything? The Amish have a core value of simplicity, a value they believe in so deeply that they抮e willing to take a stand. Although I live life differently than the Amish, I believe in the simple life too, and admire the soft-spoken kindness and unhurried manner I抳e seen in Amish craftsmen.Lesson #2: Time isn抰 EverythingThe Amish log furniture builders I know certainly do know how to meet a deadline. If I have a rush order, they抣l bend over backwards to kick it out on time. They do this for a couple of reasons. Since I order a lot of rustic furniture from them, they want to keep me happy. Also, I don抰 ask them to hurry very often Swiss Watches Replica.I don抰 ask them to hurry very often because one of their belief tenets is against a 搑ushed?way of life. If I asked them to do rush orders all the time, you can be sure they would bridle against it. By respecting their unhurried ways and limiting my rush orders to one or two per month, I am able to get my Amish suppliers to help me out when a customer is leaving their lake cottage in a week and we really need to deliver Cheap Nike Air Max 95.Although my Amish furniture builder has been willing to drop everything to help push out an order for me, it抯 obvious that he is committed to an unhurried way of life. He wouldn抰 think of working on Sunday, or even Good Friday, for that matter. The other day when I drove to his place to see about an order (you can抰 call him, because he doesn抰 answer the pay phone), he was just returning from a family canoe trip. Lesson #3: Take Time to be SocialThe Amish are big on auctions, and will close their businesses at the drop of a hat to go to one. Don抰 count on finding them at work on the first day of hunting season, either. They even put that on their answering machine. 揟his is the first day of hunting season and we won抰 be in!擮ne day I drove for an hour to pick-up a van load of Amish furniture. When I got to my supplier抯, I learned I would have to wait for loading because the 揾ired man?wasn抰 yet back from lunch. This seemed strange since it was 2:30 in the afternoon, and I couldn抰 help saying so ghd flat iron. The Amish furniture maker was quick to explain, with an amused little smile on his face, that the hired man had gotten married just two weeks earlier, and ever since then, had been taking long lunches棑very long lunches? The Amish supplier I do the most business with right now has four small children. They are amazingly quiet and well-behaved, although I can抰 see any evidence that he is ever unkind to them Wholesale Wedding Apparel. He speaks to them very gently, and they seem to love him very much梱et they are very obedient. This is particularly refreshing, given the challenging behavior that is exhibited by so many children today. My great uncle, who was born in the early 1900抯, used to say that he never wanted to go back to the 揼ood old days?because they really weren抰 so good after all Fake Swiss Made Ulysse Nardin. He remembered a lot of outhouses and hard work Fake Designer Handbags.I don抰 envy my Amish supplier for having an outhouse, but do believe there is much we can learn from his simple way of life Soccer Jersey wholesale. People who drive buggies don抰 usually have road rage Replica Wristwatch. People who don抰 watch TV or play video games have more time to cook, take canoe trips, enjoy long lunch hours with their beloved, and spend with their children. If you don抰 have electricity, you generally go to bed when the sun goes down. Perhaps we, like the Amish, should slow down a bit梐nd 搕ake time to smell the roses?

American Idol, for me, is fizzling out. I want to take that opportunity and that exposure? You either come to see me, come buy my album or you don抰. I抦 not trying to meet expectations. I抦 trying to expose my music to people who might like it, come see it and come buy it. That抯 me. If pop culture doesn抰 like it?If you can say you抮e a working musician, then you抮e doing something good. I抦 just glad to be a working musician because that抯 what I抳e always been.
Having been a performer for some time now, what抯 the biggest difference between the television stage versus the traditional live one?

What抯 the story with your lucky dime?
I抦 considered an older artist in the pop music genre. I don抰 really care, though. All I really care about is making a really good, cool, hip record with great songs. They can抰 package me, man. I抳e been on the road for ten years and know the direction I want to go in and I know my vision. It抯 taken me this far to get where I抦 going. I抦 an artist that抯 created this concept but used the American Idol machine as a marketing tool.
I guess part of my question had to do with audience梩hat you were performing to a core group of music fans and now it抯 a bit more of a pop-culture audience that wouldn抰 have come to see you prior.

I saw Phish at Oak Mountain Amphitheater in ?9. I just remember them playing 揌eavy Things?and me falling out of my chair. What抯 funny is that I promoted a Karl Denson抯 Tiny Universe and Derek Trucks Band show at the Alabama Theater in ?8. That was one of those shows that I抣l never forget. I did see Panic at Halloween in New Orleans, right before that. I went down there to flyer the lot and I ended up going to the show and ended up seeing Karl Denson afterwards at the House of Blues and then Denson traveling to Birmingham and doing the show two nights later. Another show I saw was Robert Randolph and the Family Band at Zydeco in Birmingham, right when they [Robert Randolph, North Mississippi Allstarts, John Medeski] came out with The Word.

I think a lot of music fans were impressed by your decision to cover Ray LaMontagne抯 揟rouble Wholesale Wedding Apparel.?br>

You know what? I don抰 watch it either! [laughs] You can write that.
What was your first gig?
You were named People Magazine抯 Bachelor of the Year. It seems pretty cool but is there a downside or am I trying too hard here?
I抦 curious about post-Idol performances?that there are now certain expectations that you have to deal with versus prior to the show, where you could really just do what you want. And I would assume having a magnifying glass hovering above you at all times is probably not the most fun, either.

I remember seeing Panic in Montgomery in ?6 and that抯 when I started to learn about them. I had never heard their music until I started playing. I was playing 揚igeons?and never heard 揚igeons?before. That抯 how I kind of learned the Panic梑y actually playing it and really liking what they were doing. My music has leant its ear, so to speak, to a Widespread Panic musical configuration. My last album, Under the Radar, is very earthy. My roots are firmly planted in the good, live music earth.

Jumping back to your formative years, how do you think your love of bands like Widespread Panic has contributed to your success?

I was very flattered to be called that. It抯 an honor, I guess you could say, but I wouldn抰 really know because I抦 in the bottom of an arena in the official抯 dressing room at the Pepsi Arena [in Colorado]. I抦 in the darkest bowels of an arena right now, so I haven抰 had much of a chance to find out.

Nobody knows. Nobody has any idea, but that抯 cool, man. It gave me an opportunity to create more good music. Being a performer in Lowell, AL, opportunities are pretty slim.
I抳e been on the road for ten years. I was in a Widespread Panic cover band in college. I had some stuff I even tried to submit to Relix. I抦 a music fan. As many shows as I wish I could have attended in my time, I couldn抰 because I was trying to get my own music heard. These little windows of opportunity to go see Panic, MOFRO?I even played an acoustic set on the first Jam Cruise. Isn抰 that funny?
That single, 揇o I Make You Proud,?I tried to make that single my own but in reality it抯 the show抯 single. It抯 not mine. I抳e brought a live feel to that song, but that song was given to me on the show. One song was given to me on the show and I walked out of the studio. The song that was given to me first, I got up from a chair and walked right out of the studio. The second was a little bit soulful梑ut nobody抯 ever done that. They were just handed music to sing for the A.I Replica Rolex. machine?I was handed this song and I was just like, 揘o way, you抮e not going to make me sing this song. I抦 out of here.?Just to kind of let you in on me knowing what direction I want as an artist.
Hey now桰抦 almost 29! Let抯 not call ourselves old dogs yet!
You can抰 teach an old dog new tricks. I am the old dog.

The visual aspect of that show [American Idol]is equally important as the musical aspect. I knew that. Let抯 face it梚t抯 a television show. You抳e got 40 million watching you, you have to be the most visual performer that you can because it抯 television.
To answer your first question, I need great songs. I like to write songs: I抳e written two previous albums on my own Swiss Replica Watches. I would like to think there are some great songs in that. Right now, I抦 in the process of collaborating with some people and I just wrote a song with John Mayer that could possibly go on the album, I抦 not sure. Having Ray Charles as my root梩he foundation for me musically梙e taught me a lot about the song and I learned from him that you have to feel a song; whether it抯 yours or not, as long you can connect with the lyrics and the song emotionally, you抣l be able to connect with an audience that way. That抯 how I operate. I would love to write music every day but due to a 69-out-of 80-day schedule, it抯 absolutely impossible.
I doubt many people realize that.

You抳e said that, 揌aving a number-one single is only the beginning.?How so? And secondly, what steps are you taking to insure your longevity as an artist in a climate where someone catapulted into pop culture like yourself can come and go so quickly?
I agree, 100 percent. You抳e got to connect emotionally with your audience. I do agree that you would have to have lived a little in whatever part of your life it may be. I lived a little more than others in a really early part of my life. Those experiences and those things that happened, I believe that gets you deeper into who you are as a person.

Does any part of you sense a soul/traditional R&B revival going on as seen in artists like James Hunter, Joss Stone or Little Barrie? Granted, they抮e all British. Do you think, perhaps, you抮e part of the American answer to that? And why now?

I think they抳e had a lot do with it. What抯 so cool about it is that it抯 real music, it抯 not fabricated. It抯 real art. If I wasn抰 a musician, these are the people I抎 be traveling to go see. I would probably not have a day job [laughs]. I抳e just been lucky in getting some gigs to play music here and there and have kind of just stuck with that.
You抳e talked a little about your upbringing: that it wasn抰 always easy and that you were forced to make some tough decisions early on. Do you believe that in order to sing the blues or soul, you need to experience it?
I was about 15. I had this great, wonderful family梟ot my own梑ut a family that cultivated and pushed my talents a little bit. I was learning to play harmonica on my own Soccer Jersey Supplier. I was repeating 揟ake the Long Way Home?from the Supertramp album [Breakfast in America]. I was starting to learn riffs and stuff. I remember this vividly. They were a pretty rambunctious bunch and they put this big-ass white hat on me and took me to this biker bar where this blues band was playing, Corey抯 Sports Bar. It was off the beaten path. I just remember playing harp and trying to hang with this band that was performing in front of all these bikers. I抳e been in the bars, man.
I was in a Panic cover band called Passing Through in Auburn and we played 揙l?Miss?and we did some Phish and Ben Harper covers. A lot of my friends are in that scene and that抯 the scene I like to be in because that抯 the real music scene. You got to know real music to be in the scene, you know? That抯 the scene I was in. I love real, live music, too. I抳e always studied live music. I like live music almost more than I like recorded music. I抳e relied on my live performance because I had no money to record in a studio. So the only thing I had, basically, was live gigs. And I抦 so glad that I have the mentality because that抯 where you make your money as an artist. Those people like Phish, Panic and the Dead, that scene taught me a lot about performing live music, and a lot of it梥taying out there performing live music, night in and night out. I抦 ever-indebted to that mentality of playing a lot of really great, live music. I want to go see it and I want to go play it.
Every song I wrote on that show, I wrote half of the endings to. They gave me the first minute of the song梩he second minute of the song I arranged and wrote all of the endings and melodies. I said, 揕ook you抮e going to give me the first minute of the song. You can clear 揟aking it to the Streets?but I want to be able arrange the last 30 seconds. So all the endings that you抳e seen me do on American Idol were arranged and written by me.

I carry it with me. And I抦 not going to lie: I抳e lost it a couple of times, but they抮e replaceable Swiss Made Omega.
Given your experience prior to American Idol, is there any frustration in dealing with this album-making process, where executives or whomever are trying to dictate what they want you to do? Is there some head-butting?

And, finally, if you could see one person get hit in the nuts with a football, who would it be?
揟rouble?is a great fucking song. Not only that, that抯 a great fucking album. Somebody said I should listen to Ray LaMontagne right before Trouble came out and I was a definite fan and I got to meet him at The Roxy in Atlanta. I was just a big huge fan of that album and I抦 glad that that album got the respect it deserved. Anything I did on the show, I have the utmost respect for. And having some idea that if that song gets on national television in front of 40 million people, then the odds are that people are going to go out and buy that music… I really wanted to pick music that would open up the eyes of the masses.
The beginning for me on a national level was American Idol but obviously I抳e been trying to play as much live music as I could since I was about 15 or 16.

What were some of your favorite Panic or Phish covers to do? And were there any particular shows that stood out for you?
Soul performing is a lost art. Watch Sam and Dave sing 揝oul Man?and you抣l want to watch it more. It抯 a whole a different monster Soccer Jersey wholesale. You can hear 揝oul Man,?but what抯 so funny is that the whole thing?I have this video tape of the Stax Soul Revue from 1969 in Denmark. It was a T Replica Franck Muller Watches.V. show and it was the first time the Stax Soul Revue had gone overseas and it had Booker T. & The MGs, Eddie Floyd, Otis Redding, Sam and Dave, all of these people. I started studying that as a kid, the way they moved, the way they danced Replica Watches. It was during the James Brown era. There抯 so much footage that you couldn抰 capture because technology didn抰 lend itself for you to be able to just pick up and watch Sam Cooke. Some of the remarks I get on my dancing, Otis Redding could have gotten on his. They just didn抰 have T.V. back then. This whole idea, this whole movement toward soul revival so to speak, I think it抯 a lost art and I hope that I抳e helped spark that interest. That抯 a genre of music that抯 powerful in everyday music whether it be?It was just such an integral part of music that I think got lost somewhere along the way.

Probably one of those promoters that used to stiff me. The door guys at the club that knew they were screwing me on money but were ten times bigger than me. Or, after Rosanne Barr sang the 揘ational Anthem?real bad. I don抰 know if she has nuts, you might want to check. Read More On Relix.Com

Getting to this level in this business, you kind of take it with a grain of salt: You know who your friends are, you know who your family is and you know who your fans are. The magnifying glass gets a little old at times but I want to get my music out there and this is what I have to do to do that. That抯 the ultimate goal for me梥pread good music.
Prior to last season and this most recent one, I never really watched American Idol. But in all honesty, you and Bo Bice turned my head a little bit with your musical selection.

Armani Self Esteem for Women

July 13th, 2010

Don抰 let the negative thoughts creep in, they are like a cancer for your mind?find reasons to love everything about who you are, in all your fabulous individuality!
Fake Fendi Handbags

Self esteem for women, especially, seems to be generally lower than it should be, and unfortunately far too often accompanied by poor body image. Why then are so many women subject to this deprecating state of mind? Perhaps it comes back to the natural laws of femininity. You see, a woman in her natural, feminine state has an in-built desire to radiate beauty Soccer Jersey Supplier. It抯 the very reason that we women wear make-up, shave our legs, wax our eyebrows, love to shop, etc Replica Watches Wholesale Handbags.

Naturally none of this is to say that we shouldn抰 care about our appearance, or enjoy making ourselves look and feel beautiful, but simply that if we must peg ourselves against a benchmark, perhaps we should consider someone more realistic.

In fact, for a wonderful example of what抯 involved in creating the finished look of a model in a print advertisement, I highly encourage you to watch the video that Dove put together as part of their Campaign for Real Beauty.
It抯 so important to keep ourselves healthy from the inside out, and that includes our mind?Don抰 let these unrealistic images of beauty fool you into thinking you抮e not good enough the way you are.
This damaging act of comparison is concerning enough in its own right, but consider who we are really comparing ourselves against. Whether consciously or not, we are most certainly using the media images that we抮e constantly bombarded with as a benchmark for what is the 憆ight?size, body shape or look.
My tip for this is to make a list of everything you like about yourself from the inside out. In fact, one exercise I did was to go through my body parts one by one and write down why I loved them tick2buy sitemap. I can assure you that when I got to my thighs, I found it a little challenging, but I managed to come up with how much I love that they are strong and carry me wherever I want to go!

The problem with that is this; the women in the media - actresses, singers, models, etc ?are in front of the camera for a living! Their livelihood revolves around how good they look with their faces and bodies featured up close and personal on giant screens around the world. I抦 certain just about anyone in the same position would make it an absolute priority to ensure there isn抰 a scrap of fat to be seen, or a single hair out of place. They have the money, the resources and, most importantly, extreme motivation to ensure that this standard is always maintained ?and all too often at the cost of their health Cheap Watches.
If that desire for beauty extended to finding that which we already have, it would be an absolute blessing. Unfortunately however, the unhealthy side of that desire for beauty, is in seeking it externally and creating unhealthy comparisons to others discount wedding dresses.
The other problem with using the media as a benchmark can be found in the simple act of picking up a magazine. It only takes a quick flip through the pages of any women抯 fashion magazine to make even a woman with great self esteem feel like a fat pig! Between the scarily thin catwalk models, and the lighting, make up, good photography, and of course airbrushing and photoshop techniques, the end result is that we find ourselves envying a picture of a woman who isn抰 even real Replica Watches.

Bertolucci How to Succeed in MLM Without Really Trying

July 12th, 2010

High Power LED Bulbs Fake Whimsical..you can抰! But now that I have your attention, here are some ideas that will make the business building process far easier then most people experience. There are many reasons why people find MLM difficult, there are two, however, that stand out above the rest:1. They use an 搃nbound?recruiting methodology 2 Wholesale Handbags. They recruit the wrong peopleLet抯 take a look at number 1; 搃nbound?recruiting methodology:Most people try to recruit by focusing on the exact wrong information T8 LED Tube. The typical approach is to throw enough information at the prospect (company, compensation plan, products etc) that, hopefully the prospect will find something that he likes and join the business. The problem with this approach is厀ell卛t doesn抰 work! At least not often enough for most people to build a solid business.I call this 搃nbound?methodology because it抯 all about trying to recruit people for the sole reason of building YOUR business卛t抯 about your gain, not theirs.I have had countless people try to 搑ecruit?me by trying to impress me with their wonderful company, revolutionary compensation plan or cutting edge product, but no one has yet to ask me a single question about my needs, wants or 揹on抰-wants.? No one has asked me any questions that identify weather or not I might be interested in looking at making as change. An outbound process is when we identify true prospects by trying to help those who have an unwanted condition in their lives which could be solved by their participation in our business.People will not migrate towards change unless they require change. So, step number one is to identify the unwanted condition or the needs, wants and 揹on抰-wants?then offer the prospect the opportunity to explore a solution for THEIR reasons卬ot yours. See the difference? If you are struggling in MLM, it could be because you are trying to recruit people for the wrong reason, thus, using the exact wrong approach and as a result of all that, recruiting the wrong people. This brings us to point number 2; recruiting the wrong people:Identify people who have a requirement for change first; people who have expressed through conversation some unwanted condition that might prompt them into action Cheap Nike Air Max Plus TN. Even then, you need to further qualify them as a prospect before your spout off about your company, your products or your awesome compensation plan. The people you should be looking for are people who have a specific set of qualities T8 LED Tube. The ideal type of people who make the best business building partners are those people who?. have a desire for change,2. are people oriented type individuals,3. are influential, in as much as they commend respect from the people in their lives and have an impact on the lives of others,4. are involved in service clubs, networking business clubs, or active in the community; they understand the concept of networking as part of a legitimate business model,5 Cheap Watches. are financially able to invest in their business in order to facilitate growth. The more of these characteristics an individual possesses, the more likely they will be to actually succeed in network marketing. Once you have qualified your prospect using these criteria and determined that they posses enough of these characteristics to be considered a good prospect, only then should we begin the process of trying to help them solve their unwanted condition by inviting them to explore a solution.Be an outbound networker, and watch your income grow Soccer Jersey wholesale.

Audemars Piguet Due Diligence 101 Or What You Do Not Know Can Kill You

July 7th, 2010

I hope this is of some help to you in doing due diligence on a restaurant you might be interested in buying.
Unrecorded Operating Expenses:

Get a list of functions that the seller does. Is one of them bookkeeping? Sometimes the wife does the books part time and this is never said. Again you may find the owner does the bookkeeping, at home, every night, for an extra hour. In an auto repair shop, you may find the owner is doing auto body repair work, personally, on Saturdays, which is work that you, as a buyer, will never be able to duplicate tick2buy sitemap. You need to be sure you know how to do every job function that the seller does or learn them. The time to find out what technical knowledge you need to have to take over the business is when you are doing your investigation, not the day after escrow closes.

Find out what job functions the seller does:
Restaurants compose over 25% of all businesses for sale. This is not because they all go broke, as the SBA reports. It is because 28% of all retail businesses are food service or food sales. It is the largest segment of the consumer market. Because it is a retail consumer business, it deals in 33% cash. Every independent-non-franchise food service business I have been into shows zero profit on the books. Some even go overboard and show a tax loss. It is because they do simple tax planning that does not require an MBA degree to figure out. If the business doesn抰 show all of its cash, or any of its cash, the expenses will equal the reported income. This alone makes it attractive to many buyers. We will not discuss the moral issues of this attitude; it is what it is. What we have to discuss is how do you, the buyer, can prove that the business is making a profit? And if it is, how much?
When you pay an employee $100.00 per day, on the books, the employee gets about $70.00 net on his check. If you give him $80.00 in cash, he is happy. He doesn抰 have to worry about going into a higher tax bracket.

The employer has to pay approx 10% to cover the employers FICA and other Federal employment taxes. You, as employer also have the workman抯 compensation insurance premium. If we are talking auto repair mechanics compensation insurance alone costs 15%. If we are talking new real estate construction workers we can be talking a cost rate between 25% up to 120%. A roofer抯 compensation premium is greater than his gross salary. Lets look what payroll taxes cost for a normal worker. The auto mechanic insurance rate of 25% is added to the 10% Federal costs plus the wages give us an expense that equals 135% of the wages. This comes out with the employer paying $135.00 and the employee receiving $70.00. There is a loss of $65.00 per day per employee. Some employers would rather save the $65.00 and not get the income tax deduction for the expense. Also with all the unrecorded cash the business shows, it isn抰 important to have a loss on the books, since there is no need for more deductions to lower taxes. The business is already not paying any taxes.
You spent months finding the right business. The seller says that you cannot go by what the tax return shows but the business is making a lot of money, and he can prove it. Your inspection of the profit and loss statement shows that sales have been increasing slightly in the last few years. Most important, and the best news of all is; the price is right! Does it sound too good to be true? I am sorry to tell you this, it probably is.

The only way to protect yourself is disclosure so that you have grounds to sue for fraud. Make the seller put the real sales numbers, cost of goods percentage and any other information you are given and can not document down on a piece of paper and then have the seller sign and date the paper. If after the close of escrow you find the seller lied to you, the document will give you grounds to sue for fraud or misrepresentation. The important thing is be able to show a judge in writing what the buyer told you and to be able to show that he did this in writing. If the seller told you but never did it in writing you cannot prove it. 揑f it isn抰 written, it isn抰 so?

Due Diligence Defined:
Because there is a danger that an employee might be injured and file a claim under workman抯 compensation insurance, it is common among small businesses to show part of the wages on the books and the balance in cash. This means that an employee earning $40,000 per year might have $18,000 recorded on a W-2 form, creating a very low federal tax rate or no tax due at all. Since the employee is being paid part of his wages on the books if he is injured on the job he is fully insured for accidents with State Workman抯 Compensation Fund, State Disability Funds, State unemployment insurance and all Social Security benefits. A win-win for employer and employee, even if not for the government. As a buyer you must figure all this out, and adjust the expenses accordingly.
A retail store is a store that carries an inventory of products that they resale. Sometimes they offer installation, which then might put them into the service company instead of a retail store. The main distinction is that they sell a product instead of a service. This includes everything from Home Depot, pet stores, clothing stores, gift shops, supermarkets, vitamin stores, and sign shops. Retail stores have cash registers and daily tapes of their sales. This is handled similarly to a restaurant and should be audited in the same manner. (See Restaurant Section Above) In addition to the cash register information, you also have purchase records, which can be studied to determine the cost of the merchandise as a percentage of the selling price. With this relationship-percentage of cost to sale price known you can calculate either the cost of goods sold or gross sales if you have either to start with. A few smart owners buy some merchandise for cash in order to prevent a tax auditor from catching them by using this same manner. If the seller does this, he will admit it to you, if you ask.
Inventory:

Some franchises do not hook up to the individual franchise computers and do not do audits regularly. This allows the franchise to report reduced income to the company and the IRS. In case either comes to audit, they press the delete button on the computer. If you as a buyer can get access to the computer you know the numbers are correct even if they are not complete. It is impossible for the staff or the owner to change the computer records. The information can only be deleted. Again catering and take out may not be on the computer. Theft from employees can only be in the form of 1. Employees that give free food to friends. 2. Employees not ringing up an order, which is difficult when businesses put up signs saying, 揑f you do not get a receipt, your order is free.?br>

Fraud:
Because we are talking small businesses, the wife comes in to the business full or part time. One of the children may come in to work part time. You must be aware of these employees who may or may not be paid. This is another form of cash payroll. If you have to replace these people with paid employees, these expenses need to be calculated in to the adjusted profit and loss calculation. .

The second reason for checking inventory is that if a seller doesn抰 take inventory at least yearly and adjust his inventory value in his accounting records, accurately, the profit figure you are receiving will not be accurate. As a rule, the higher cost of goods sold, the lower the profit. Some business owners reduce the inventory value on the books, intentionally, to a lower value so as to make the business show a higher cost of goods sold, which then creates a smaller taxable profit. If they do this year after year, the profit may or may not be accurate for the current year. It might take a CPA to figure this one out for you, if you do not have a background in retail.

Real estate service contractors include new construction general contractors and sub-contractors, contractors that come to your house to offer repairs on your house (plumbers, heating and air-conditioning contractors, gardeners, landscapers, termite companies, roofers, carpet cleaners, cabinet re-modelers, carpet/drapery stores, tile stores, pool service providers, pool installation contractors, landscapers, etc China LED Ribbon Light.) These contractors, if the owner does the work himself, do not keep their job tickets-invoices after they are paid for their services, in cash. If the company has service men, then the owner is usually the dispatcher or other administrative person. In this situation seller, most likely, will have kept all of his invoices, so as to be able to look up prior history records of their customers. They might not have recorded the income on their records but they will have the basic records. Theses records may in a total mess, but the records do exist. If they do not, then buy the business based on what the seller can prove to you, or what you can reasonably estimate based on what percentage of the business you think is cash ghd hair straighteners. What they are only going to prove to you is the total of checks and credit card charges, which is what the seller has declared on the tax return.
The phrase is composed of two words. 揇ue?which the dictionary defines as 揚roper or adequate?and Diligence, which is defined as 揇egree of care or caution expected of a person. Especially as a party to an agreement.?Caution: is the watchword in this definition.
Unrecorded Cash Payroll:

I hope that the point is made. Never buy a business on someone抯 word. Actually, you should never buy anything on someone抯 word. Confirm everything, believe nothing and understand that you are still going to find out things, after the close of escrow, which is going to surprise you. A similar example is one known by every employer. A staff worked for a company for 4 months and complained to the personal officer that the job was just too difficult. He kept complaining that he needed more training and lower quotas. You feel sorry for him. You talk to him and talk to him about it. You listen and believe all the excuses he gives you for poor production Maurice Lacroix Fake Watches. Finally he quit, blaming you for something that you did, this just before you were going to give up and fire him. Then you started to take over the work of finishing his incomplete projects. You are shocked, as you always re, at what he did wrong and what he had covered up, that he was not doing. This is what happens when you buy a business. You find out all the actions that the seller, not his staff, had stopped doing, from the day that he decided to sell the company.

Inventory of resale merchandise must be checked for two reasons. One is you have to pay for it. Be careful, you do not want to buy merchandise that is old, worthless and not saleable anymore. Only pay for current marketable product. The price you are suppose to te pay for the inventory is the seller抯 cost. The price for old slow inventory is negotiable. Always spot check the price and count the merchandise listed on the inventory list Cheap Nike Air Max 90 Boot. Do people put down that there is three of an item when there are only two? Of course, especially when they think no one is going to be checking them out. Comparing prices from purchase invoices is how you check prices. You cannot check every item against the actual cost but you can do 5% of the items. Pick at random, not by any suggestion made by the seller or others. If you do not understand how marketable the inventory is that you are buying, hire an expert, from that industry. Your broker should be able to help you in finding someone. Do not be cheap, and think you do not need to spend the money on an expert adviser. I will take a lunch bet that they will pay for them selves many times over.

Determine how many hours the seller really works. You are buying an income stream based on a known number of hours of work. Make sure the seller isn抰 working 80 hours and telling you he is only working 40 hours, per week. I had an absentee fast food owner tell the buyers and me that he worked part time - 5 hours per week. Closer inspection showed he was working 25 hours per week. One auto repair seller, we抣l call him Bob, said he never was at the business, because he had a second full time job. Inspection found he was working 30 hours a week (4 plus hours every night, and 8 hours on Saturdays).
Non Real Estate Repair/ Services:
Cash Sales:
Add Backs:
Professionals are a form of service business; except they charge a higher hourly rate and they have to keep patient/client files. Most people pay their professionals by credit card or check, because these expenses are usually tax deductible as medical or financial advice. If the seller doesn抰 declare all the income, ask what back up records there are. Clients always get receipts for services and payments. There are records, find them and you will have all the income.
If you have followed all of the earlier advice on documenting cash income and they in truth do not have documentation, you are in big trouble. You may have reached the end of your rope. You now have Two option left. 1. Walk away. 2. If you still want to buy this business I only have one last suggestion. It is not fool proof but it is a method. Cash appears to be approximately 30%-35% of total sales. You could make this assumption to come up with a real total Soccer Jersey wholesale. Add 50% to the sales showing on the books, this amount is from credit cards and check sales. This is not an exact science; it is only a close estimate. Cash sales could actually be anywhere between 25% or 35%. I never figured it that close.

Conclusion:

It is a hard life when you own your own business; you work long hours. Many people feel that is better than the alternative, which is to work for someone else, pay high taxes, never know if you will be laid off and after years of hard work, never have anything to show for it all.
Seller owns a dry cleaner. The buyer and seller have opened escrow and the deal is subject to a 15-day physical observation period. The seller doesn抰 want the buyer to find out that business volume is very slow. The seller tells all his friends to bring their dry
In 2000 I had a client buy a car wash soap manufacturing business for $2 Million dollars. The seller swore it was making $500,000 profit per year. Due Diligence showed it was only making $300,000. When presented with the auditors report, the seller claimed the audit was wrong. The buyer bought the company, knowing he was overpaying for the business. Why? He had done his research on the production department and sales department. He went out on the deliveries with the drivers, and met customers. He determined that he could double the sales and profit within one year. After he bought the business he found two things to be true. The profit was $300,000, as my audit found. He could double the sales and profit within 12 months, and did. The seller tried to screw the buyer, but in the end, justice was served. The seller screwed himself more than he screwed the buyer by not running his business correctly. If he had he could of sold it for a lot more than $2 Million dollars.
Cash Expenses Verification:

How does a seller defraud a buyer on current sales activity levels? Sellers who keep poor records or no records, many times, suggest the buyer doing a 15-day visual inspection. This helps but it is very dangerous to rely solely on physical inspections alone because the seller can still defraud the buyer. Here is the most famous of the stories I have heard over the years.
Some sellers are so paranoid of the IRS, they are not willing to show anyone their private records or computer tapes for fear that the buyer could be an IRS agent. My personal opinion, and what I advice sellers to do, is to get their books legal and honest and hire themselves a top notch CPA, like Donald Trump, and use every legal trick in the book. Martha Stewart didn抰 go to jail for inside trading. They got her on lying. There are legal ways to avoid taxes so that fraud is not necessary. If you cannot find a good accountant, I will recommend one.
When all else fails in Figuring Cash Income:

If you ask someone \”Are you a government employee or IRS agent?\” and they lie to you; that might be considered entrapment and a good possible defense in court. But, I ask you. Is it worth the grief?
When this information is not available, for any reason, an experienced restaurant consultant can tell you the sales activities just by inspecting the restaurant and counting the number of customers eating at 4 key times in a day, and on several key days per week. Then the consultant can figures out what the average sales ticket amount is. With this information like magic the consultant knows the gross sales figure, for the year.

The normal action of sellers, in this situation, is to require that the buyer take the business based on the recorded records and guess as to how profitable the place really is. This is a very difficult situation for the brokers and buyers, since sellers do not price their business based on these reported numbers but base their price on the real numbers.
Non real estate repair/service companies include such things as large and small appliance repairs, barbershops/hair salons, nail shops, massage parlors, health clubs, pet grooming, wedding photographers, and movie theaters. These businesses usually do not even write up a ticket so unless a central cash register is used for recording income there will be no record at all. Again this is like a restaurant with cash register tapes. If the work is done at the customer抯 location, then you study the serviceman抯 truck schedule. If you only have some work records, from some work done in the field, you can determine what the average repair dollar volume is and then if you calculate how many calls are made on an average day, you only have to multiply the two numbers.

If you bought the business through a business broker you should have received the business financial statement with a separate worksheet showing adjustments to those statements. These adjustments show the owner抯 benefits received from the business besides the profit and salary he receives. These can also be defined as personal expenses that need to be added back to the profit. Depreciation, incomes taxes, interest expense are add backs that are not personal. Personal includes such things as family auto expenses, owner life insurance, owner health insurance, business entertainment that was not really spent on clients, business trips not really for business, home office expenses, family cellular phones and much much more.
Restaurants - Franchise:
When you think of unrecorded cash transactions we usually think of undeclared income. Undeclared income is the biggest category, but not the only one. The other is cash expense not deducted on the books. The biggest expense item in this category is cash payroll.
Make the seller show you the details on some or all of these expenses to verify that they are really personal and not actually business expenses that shouldn抰 be added back to profit. Spend time asking detailed questions with the general ledger in front of you. Go through individual charges and what they mean, until you fully understand what is being added back and why.

Many businesses are doing well. Sometimes the owners have personal things going on in their home life. Sometimes they have medical problems. Many times the business is not doing well and the seller is frustrated. It is very common for a seller to work hard to build his business, but because of many reasons, it doesn抰 produce what the seller wants. He gets frustrated and one day he gives up. That is usually the day he calls that business broker he met and asks the big question. How long will it take you to get me out of this place? In his mind, he is gone. He just counts the days until he physically walks out.

Sometimes the family member is being paid some wages but not full market value. The adjustment is still needed but in this case only by the difference between actual payroll and the fair market payroll amount.

Ok, enough with the fun stories for now. Lets get down to the details of what to look for when doing 揇ue Diligence.?br>

Next thing to check on the financials is the real, current value of the equipment you are buying with the business. The balance sheet might, if it shows all the equipment the company owns, give you the cost of the equipment when it was purchased. If you are buying assets rather than cash flow, the equipment valuation becomes more important. No one wants to overpay for used equipment. Also check that the equipment works and is actually being used rather than sitting behind the building with other junk.
Have I scared you? Good ghd flat iron. There is a plus side. It is worth all the grief that you go through to buy a business when you get in to the drivers seat, put all the marketing actions into place and start driving your own business.

Restaurants come in two categories. 1. Fast food-counter sales. 2. Sit down. Fast food restaurants have computerized cash registers that record the sales into its computer, which has a memory. This memory has daily totals going back to the beginning of the computer抯 history. Most owners close out their cash registers at the end of the day and print out the tape of each day抯 activities. This does not automatically wipe out the information for the day. The computer does, I am told, have a delete button on it allowing the owner to wipe out the full memory in the computer, in the event of an audit. I have also been told, but do not believe, that an electrical blackout can wipe out the memory in the computer and that is why one seller said he couldn抰 give me access to this information.
Medical Professions and Non Medical Professionals:
If we are talking about a sit down restaurant sales information, you can use the daily order ticket, which are then imputed into the computer Replica Handbags. This gives 3 sources: tickets, computer and daily tape totals.

DO YOUR DUE DILIGENCE and buying your own business can be a pleasant and rewarding experience!

You would imagine that franchise restaurants records would be very accurate because the franchise company gets a percentage of the gross income. The bigger ones connect up to the individual franchise and know what is happening faster then the owner. As stated above, the only sales that can be made and not declared to the computer are catering or delivery orders, which could be done without ringing them up.

If we are talking about hair salons, nail shops or barber shops we can gather information about how many chairs there are, how many chairs are rented on a weekly bases and what rent the owner is collecting. If the technician is not paying rent then they are on a commission split. If you know the rental income and the income split you are well on your way to determining the real profit of this kind of business. Remember to ignore the income of the owner since you as a hairdresser or non-hairdresser owner would not get the income of the old owner. The old owner will probably rent space from you so you only add another rented chair to the income.

It is a common occurrence that businesses do not record all of their income on their financial statements. Yes, this is true. Many people do not, in fact, report the truth on their tax returns. In fact, when I am talking about small retail or service businesses that deal with the public directly, I find it is over 90%. 揥ill the people with an honest set of books, please leave the auditorium. There are two golf carts outside waiting to chauffer you home. You do not need to hear this.?
Then build your new business into something you can be proud of and enjoy. While building your new business make a point to study everything you can about Tax planning, tax avoidance and reducing taxes legally. I started in College learning about the tax codes, and there are so many ways to save taxes legally, you would never believe it. You will sleep better at night, I promise you. Then 10-20 years from now when you want to sell your business, you can ask top dollar and get it. This because a buyer can do a simple due diligence and know that your business is doing exactly what your books say you are doing.

Auto repair shops are almost as bad as restaurants when it comes to under-declaring cash. The normal procedure for most, I have run across, is to declare only the checks and credit card charges. The cash they put into their pocket. The good thing, in doing audits is that almost every one of these owners keeps their work orders-invoices. These are kept in monthly manila folders and put into a drawer or file cabinet. They never tell you that they keep these records, but they do. They even tell me, as the broker, that all backup documents have been destroyed, but they are not. When I insist that they cannot sell their business without providing these invoices, they tell me of their existence. With the sales invoices an audit of income becomes simple. Since the sellers keep them in a manila folder by months, you only have to pick monthly folders at random and total the actual invoices. Then compare them to what the 揝tate Board of Equalization?report says and calculate what percentage of the total was declared. If you do this for a few months, a pattern will develop. Some sellers have even run a calculator tape of the month抯 activities and/or written it in a private ledger. You can check the actual invoice tapes against the private ledger records to confirm the private ledger information is correct.

Auto Repair Shops:

A double check procedure for restaurant consultants is to then look at the food purchases and its costs and can confirm that it matches the actual sales figures. One consultant that was hired to review a Johnny Rocket restaurant for $7,000 did the audit and put together a marketing program for the buyer. The marketing program included delivery and catering. Both of which do not normally show up on the computerized cash register.

cleaning in to the shop for a two-week period, at no charge. They bring in the clothing, get it cleaned, pick it up and pay for it. Later the business owner meets the customers and reimburses all of them for the cost of their dry cleaning. The day after escrow closes all that business traffic stops. Think it never happens? The same is true of restaurants. Seller tells all his friends to bring all of their friends in for a free meal. Customers pay the bill and some time later or at home, the business owner reimburses all the customers for the cost of their meals.

Verification of things that are not on the Financial Statements:

Because owners are collecting so much cash, they need a place to spend it. If you make a major purchase, you cannot just walk in and pay cash for a car. The IRS will be notified of this cash transaction. Owners with a lot of cash will pay for all repairs, gardeners and everything for the home that costs less than $10,000, in cash. Why $10,000? That is the recording cut off that a vendor or bank is required to report when receiving funds in cash. If a business owner still has too much cash, sellers will start paying for business expenses. They start with the expenses where a service man gives a discount for cash. I found two restaurants that were paying for the hood cleaning service in cash, partly because they got a discount for paying in cash. By asking the correct questions, you can discover what is being paid in cash.

Unrecorded Labor:

You should consult the appropriate professionals with regard to your specific transaction or situation. Further, this article is in no way advocating, suggesting or implying that anyone engages in any type fraudulent activities whatsoever. These are simply the things a buyer should be aware of when doing due diligence in buyer a business.
Equipment value:
Real Estate Services/Repairs Contractors:

If you are going to buy a business with your hard earned money, you want to make sure you get what you paid for. Many people believe it is all right to cheat the taxman but otherwise are very honest citizens. Others feel it is all right to cheap any poor sucker that comes along. Don抰 be a sucker, do your due diligence and get what you paid for.
I think it was Benjamin Franklin who said, 揂 fool and his money are soon parted.?Mr. Franklin must have known a lot of business buyers. When buying appliances that break in a month, it costs you a few dollars. When you go to a swap meet and are cheated because the solid gold watch is really gold plated, it costs you a few hundred bucks. When a used car salesman cheats you, by selling you a lemon, where the speedometer has been turned back 100,000 miles, it costs you a few thousand dollars. Getting cheated buying a business can cost you many thousands to hundreds of thousands of dollars. The only investment or purchase that I know of where you can be cheated out of more money is in the area of real estate. Real Estate fraud can runs into the hundreds of millions of dollars and does. You would be shocked at all the people between 1875 and 1950 who saw ads for prime real estate in Florida and bought swamp land. What about prime Louisiana beach front with Alligators living outside your front door? I have written a series of articles on fraud and it keeps getting bigger and bigger.
When All Else Fails With a Retail Business:
Actual time sellers spends working:
The balance of this article will discuss how a buyer might do their 揇ue Diligence?for different types of businesses. These types of businesses include Restaurants, auto repair shops; real estate services contractors, non-real estate repair/ services, and retail stores.

If all income is being reported, check sales volume activities that you have observed against the daily records during your 揇ue Diligence?to see if the volume corresponds to what was reported last year in the same month. If you see income of $500 per day but the seller shows sales of $1,000 per day, you need to find out why. Some smart buyers sit in the business all day, watch the sales and observe the activities of the staff. This works if the seller is not putting on a full fledge production fraud for you the buyer.
In an attempt to reduce the payroll expense, business owners will pay some of their staff抯 payroll in cash. Why would they do this? Workman抯 Compensation Insurance, FICA Taxes-Employer and Employee portion - Federal and State Income Taxes. Any accountant would scream at his client 揧ou are missing out on a legal tax deduction.?Let me explain why someone would forego the tax write off by paying cash expenses.

Raymond Weil Deadly Mistakes You Can Avoid Part 1

Is there a magic formula for success? I wish I could tell you there was. It could have saved me a whole lot of headaches over the years. And having the copyright on that formula would have made me an awful lot of money Replica Watch. Unfortunately, there\’s no more magic in being successful than there is in anything else worthwhile in life.
Now, you may be one of the fortunate few, and never find yourself faced with any of these problems, and that\’s great. More likely, you\’ll recognize parallels in your own situation in what I\’m about to discuss. My goal here is to put you in a position where you can identify these pitfalls Concord Replica Watch Yves saint Laurent shoes. Then, when you encounter them (and you will), you\’ll be armed with the ability to direct yourself around them and get back on track . Soccer Jersey wholesale. . immediately. You won\’t have to worry about these things hindering you from achieving your goals Cheap Hermes Wallets. So, let\’s dive in and go down the list.

I get frustrated when I see people with tremendous potential for this business get off track with a so-called \”get-rich quick\” scheme (and there are a lot of them - just watch a little late-night television). If you dabble in one business, jump to another then try something else completely different, you\’re not likely to be successful at any of it. Focus takes work, determination and discipline. Sometimes it hurts. Like when you have to say no to your family so you can go out and make them five or ten thousand dollars when you could be watching Seinfeld re-runs at home. Believe me, when your increased income starts showing up in trips to Disney World, new clothes, cars, etc., your spouse and kids won\’t have a problem with it Replica Watches.
1. Lack of focus. I define focus as concentrating only on the work you must do to succeed in your business, avoiding all distractions and not getting side-tracked by every \”great idea\” that pops up. It\’s not easy. The world we live in today is filled with things that beg for our attention. We live in what\’s being called the \”Information Age\”, and that\’s great except all this bombardment of information makes it hard for most of us to sift through the junk and come up with the good stuff. That\’s why most of us have a problem staying focused - even when we\’re trying to concentrate on something we know will make us wealthy. There are a million ways to make a million bucks and every day a new avenue for riches is presented to us. But I\’ve learned through trial and error (lots of error) that the only way to make something work is to filter out everything else and stick with what I know works.
However, from years of experiencing my own successes and failures, as well as witnessing those of others, I have identified a few mistakes that can short-circuit an entrepreneur\’s rise to fortune. I\’ve compiled a list of the most common roadblocks you\’ll face on the road to becoming a successful real estate entrepreneur.

I\’ve seen every possible scenario, from overnight success to plodding, sit-on-your-butt-and-do-nothing failure Swiss Replica Watches. I\’ve known people who would get off to a great start, and then fade away, and some who would piddle around and never seem to get anywhere. I\’ve known those who made a very successful living and even a few who became super wealthy.

Business Website Design Rules

June 23rd, 2010

By:Jerome Williams

When designing a website for business purposes, avoid the temptation to become Michelangelo or Picasso A good business website should not be an expression of you If you want to express yourself, try writing a book or painting a picture The rules I follow when designing a business website are function over form, good content, and easy navigation If your website does not follow these simple rules, you should probably rethink your design The following paragraphs will discuss in detail those three rules

Form Over Function

Avoid flashy graphics on your website at all costs Graphic intense websites tend to distract visitors Many times these types of sites look really cool, but the visitor has no idea what message you are trying to convey After the novelty of your cool graphics wears off (usually in 2 or 3 seconds), the visitor will leave your site and continue surfing the web to find the information, product, or service that you could very well have been able to provide In addition to being a distraction, a flashy website can slow down the time it takes for your website to load on a visitor\’s monitor ghd flat iron. Content Is King

Make your website meaningful, be sure to provide important information about the product or service you are offering You should get to the point fast because visitors are constantly being bombarded with useless information Don\’t include information that is irrelevant to your website and be sure that your message clear

A content rich website is import for search engine optimization (SEO) SEO determines how your site will be ranked in keyword search engine requests When a search engine\’s web crawler looks at your website to determine its search ranking it is looking at the content of your site Web crawlers used to rely on titles and keyword tags, however many website designers would load these tags with data that did not relate to the websites so the actual content of the site became far more important A web crawler\’s job is to match the text provided in your site with the web surfer\’s search request

Navigation

The rule I like to follow regarding navigation is that a visitor to your website should never have to click than mouse more than three times to move from any point in your website to any other point in your website The best example I can think of is when you call a business and get one of those automated telephone operators Swiss Watches Replica. They ask you to press a number to go to a department, then you press another number to go to some group of that department, an so on and so on until you have pressed a different number about eight times and decided to give up on the call altogether This is the feeling your visitors will get if you make them click the mouse several time to reach their destination In many cases, they will never reach their destination because they will have left your website to find one that was better designed!

Theses are my rules to live by when designing an effective website
